1. INTRODUCTION

These Terms of Service ("Terms", "Terms of Service" or "Agreement") govern your access to and use of the Links & Co website and your purchase of products through our online store.

By accessing our website, creating an account, placing an order or purchasing products from Links & Co, you acknowledge that you have read, understood and agree to be bound by these Terms and the other policies referred to in them.

Links & Co (Pty) Ltd operates as a South African online retailer and e-commerce reseller. Products displayed on our website are sold directly to customers by Links & Co.

We may source products from established suppliers, manufacturers, wholesalers, distributors and other approved third-party product providers. Certain suppliers or fulfilment partners may assist with stock sourcing, order processing, packaging, dispatch or delivery.

These Terms are intended to operate in accordance with applicable South African legislation, including:

  • the Consumer Protection Act 68 of 2008 ("CPA");

  • the Electronic Communications and Transactions Act 25 of 2002 ("ECTA");

  • the Protection of Personal Information Act 4 of 2013 ("POPIA");

  • applicable tax legislation; and

  • other applicable South African laws and regulations.

Nothing in these Terms is intended to exclude, restrict or waive any consumer right that cannot lawfully be excluded, restricted or waived.

Links & Co operates an online e-commerce store supplying products to customers within South Africa.

Where a third party assists with fulfilment, Links & Co remains the customer's point of contact for purchases made through the Links & Co online store and remains responsible for its obligations to customers under applicable law.

3. ACCEPTANCE OF THESE TERMS

By using the Links & Co website or placing an order, you agree to be bound by these Terms.

If you do not agree with these Terms, you should not use the website or place an order.

If you purchase products on behalf of a company, organisation or another person, you confirm that you have the authority to enter into the transaction on their behalf.

4. ELIGIBILITY TO PURCHASE

You may use the Links & Co website and purchase products if:

  • you have the legal capacity to enter into a binding agreement;

  • the information you provide is accurate and complete;

  • you use the website lawfully;

  • you comply with these Terms; and

  • you satisfy any applicable age or legal requirements.

Where a person does not have legal capacity to enter into a transaction, the transaction must be entered into with the involvement or consent of an appropriate parent, guardian or legally authorised person where required by law.

Links & Co makes reasonable efforts to ensure that product descriptions, photographs, specifications, prices and other information displayed on the website are accurate and up to date.

However, customers acknowledge that:

  • colours may appear differently depending on your device or screen;

  • product packaging may change;

  • manufacturers may modify product specifications;

  • product images may be illustrative;

  • dimensions and measurements may have reasonable variations; and

  • product availability may change.

We will not intentionally provide false, misleading or deceptive information.

Where we become aware of a material error in product information that affects an order, we will take reasonable steps to correct the error and address the customer's rights in accordance with applicable law.

6. PRODUCT AVAILABILITY

All products are subject to availability.

Adding a product to your shopping cart does not guarantee that the product will remain available until checkout or payment.

Where possible, stock availability will be indicated on the website.

If a product becomes unavailable after an order has been placed, Links & Co will notify the customer as soon as reasonably practicable.

Depending on the circumstances and applicable law, Links & Co may:

  • offer an alternative product;

  • provide an updated fulfilment or delivery arrangement; or

  • cancel the affected order and provide an applicable refund.

7. PRICES

All prices displayed on the Links & Co website will be stated in South African Rand (ZAR) unless otherwise indicated.

Prices may change from time to time.

The price applicable to your order will generally be the price displayed when you complete the purchase, subject to any obvious pricing error or other circumstance permitted by law.

Where applicable, additional costs such as delivery charges, taxes or other fees will be disclosed before you complete the transaction.

Links & Co will provide customers with the material pricing information required by applicable South African electronic-commerce and consumer-protection legislation.

8. VAT

Where Links & Co is registered for VAT and VAT is applicable to a transaction, pricing and invoices will be handled in accordance with applicable South African VAT legislation.

Where Links & Co is not VAT registered, Links & Co will not represent itself as VAT registered or charge VAT as a VAT-registered supplier.

9. ORDERS

When you place an order through the Links & Co website, you submit a request to purchase the selected products.

After receiving your order, Links & Co may send an electronic order confirmation.

An order may be subject to:

  • payment verification;

  • stock confirmation;

  • fraud-prevention checks;

  • delivery-address verification;

  • supplier or fulfilment confirmation; and

  • other reasonable order-processing procedures.

An order will be treated as accepted once Links & Co has confirmed acceptance of the order, subject to applicable law.

Receipt of an automated order acknowledgement does not necessarily mean that the order has been finally accepted.

  • public holidays;

  • high order volumes;

  • customs or logistics requirements where applicable; and

  • circumstances outside our reasonable control.

The 15-business-day period is an estimated delivery period and not a guarantee of delivery on a specific date, unless a specific delivery date has expressly been agreed with the customer.

Where there is an unreasonable delay or non-delivery, customers retain any rights available to them under applicable law.

14. DELIVERY ADDRESS

Customers are responsible for providing accurate and complete delivery information.

Before completing an order, please ensure that the following information is correct:

  • full name;

  • telephone number;

  • email address;

  • physical delivery address;

  • suburb;

  • city;

  • province; and

  • postal code.

Links & Co may not be responsible for delays or failed delivery caused solely by incorrect or incomplete information supplied by the customer, subject to applicable consumer rights.

Where possible, customers should promptly notify Links & Co if delivery information needs to be corrected.

15. THIRD-PARTY SUPPLIERS AND FULFILMENT PARTNERS

Links & Co may source products from:

  • manufacturers;

  • wholesalers;

  • distributors;

  • suppliers;

  • importers;

  • warehouses; and

  • other approved product providers.

Third-party suppliers or fulfilment partners may assist with:

  • product sourcing;

  • stock availability;

  • product packaging;

  • order preparation;

  • fulfilment;

  • dispatch;

  • delivery preparation; or

  • other operational aspects of an order.

These third parties assist Links & Co in fulfilling customer orders.

They do not become the seller or contracting party merely because they assist with fulfilment.

Where you purchase a product through the Links & Co website, your purchase is made with Links & Co, subject to these Terms and applicable law.

Links & Co will not require customers to waive statutory rights merely because a third party is involved in fulfilling an order.

16. IMPORTED OR INTERNATIONALLY SOURCED PRODUCTS

Certain products may be sourced internationally or supplied through international fulfilment arrangements.

Where applicable, delivery times may be affected by:

  • international shipping;

  • customs procedures;

  • import requirements;

  • logistics delays;

  • supplier processing; or

  • other circumstances outside Links & Co's reasonable control.

Where additional costs, duties, taxes or charges are legally applicable and are not included in the advertised price, Links & Co will disclose them where required by law before the customer completes the transaction.

17. RETURNS, REFUNDS AND CANCELLATIONS

Returns, refunds, replacements and cancellations are governed by the Links & Co Refund, Returns & Cancellation Policy.

That policy forms part of these Terms.

Nothing in these Terms or the Refund, Returns & Cancellation Policy removes any statutory consumer right.

Customers may have statutory rights under the CPA and ECTA, including applicable cooling-off rights, remedies relating to defective goods and other consumer protections.

18. STATUTORY WARRANTY AND QUALITY OF GOODS

Links & Co recognises customers' statutory rights relating to the quality, safety, durability and suitability of goods.

Where applicable, the CPA provides consumers with statutory remedies concerning defective or unsuitable goods, including the statutory implied warranty of quality.

Nothing in these Terms is intended to exclude, reduce or waive those statutory rights.

Where a manufacturer or supplier provides an additional warranty, that warranty may apply in addition to statutory consumer rights.

19. DEFECTIVE, DAMAGED OR INCORRECT PRODUCTS

Customers should contact Links & Co if they receive:

  • a defective product;

  • a damaged product;

  • an incorrect product;

  • a materially different product from the one ordered; or

  • a product missing advertised components or accessories.

Links & Co may request reasonable supporting information, including:

  • order number;

  • photographs;

  • videos;

  • product details;

  • packaging photographs; or

  • other information reasonably necessary to investigate the issue.

Where a statutory remedy applies, Links & Co will address the matter in accordance with applicable South African law.

Customers should retain the original packaging where reasonably possible until the matter has been resolved.

20. MANUFACTURER WARRANTIES

Certain products may be supplied with a manufacturer's or supplier's warranty.

Where a separate manufacturer's warranty applies, the applicable warranty terms may also apply.

A manufacturer's warranty does not remove statutory consumer rights that apply under South African law.

Customers may contact Links & Co for assistance in determining the appropriate process for a warranty-related issue.

21. USER ACCOUNTS

Where the Links & Co website permits customers to create accounts, customers are responsible for:

  • keeping login information confidential;

  • providing accurate information;

  • maintaining reasonable account security; and

Links & Co may suspend or terminate an account where reasonably necessary to prevent:

Links & Co may moderate, decline to publish or remove content where reasonably necessary or where required by law.

29. WEBSITE AVAILABILITY

Links & Co aims to keep its website available and operational.

Temporary interruptions may occur due to:

  • maintenance;

  • technical problems;

  • hosting issues;

  • software updates;

  • cybersecurity incidents;

  • telecommunications failures;

  • power failures; or

  • circumstances outside our reasonable control.

We do not guarantee that the website will always be uninterrupted, available or completely error-free.

30. LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by South African law.

Links & Co will not be responsible for losses arising solely from circumstances that are outside our reasonable control, subject to any rights and remedies available to consumers under applicable law.

Links & Co will not use these Terms to require a consumer to waive statutory rights or accept an unfair, unreasonable or unlawful limitation of liability.

Nothing in these Terms limits liability or consumer remedies that cannot legally be limited.

31. EVENTS OUTSIDE OUR REASONABLE CONTROL

Links & Co may experience circumstances beyond its reasonable control, including:

  • natural disasters;

  • severe weather;

  • strikes;

  • civil disruption;

  • infrastructure failures;

  • major courier disruptions;

  • supplier disruptions;

  • cyber incidents;

  • power failures;

  • telecommunications failures;

  • government restrictions; or

  • other extraordinary events.

Where such an event materially affects an order, Links & Co will take reasonable steps to communicate significant delays or changes to the customer.

Nothing in this section removes or limits any statutory consumer right.

32. FRAUD AND SECURITY

Links & Co may investigate transactions that appear suspicious, fraudulent or unlawful.

Where reasonably necessary, an order may be delayed, declined or cancelled to protect:

  • the customer;

  • Links & Co;

  • payment providers;

  • suppliers; or

  • other parties involved in the transaction.

Where payment has already been made and a refund is legally required, the refund will be processed in accordance with applicable law and the Links & Co Refund, Returns & Cancellation Policy.

33. CUSTOMER COMPLAINTS

If you have a complaint regarding an order, product, payment, delivery or customer service, please contact Links & Co directly.

To help us investigate the matter, please provide:

  • your name;

  • order number;

  • contact details;

  • description of the complaint; and

  • relevant supporting documents or photographs.

Links & Co will make reasonable efforts to investigate and resolve complaints within a reasonable period.

34. DISPUTE RESOLUTION

Where a dispute cannot be resolved directly, either party may pursue any remedy available under South African law.

Nothing in these Terms prevents a consumer from approaching a competent regulator, tribunal, ombud, court or other legally authorised dispute-resolution body where the consumer is entitled to do so.

35. GOVERNING LAW

These Terms are governed by the laws of the Republic of South Africa.

Any dispute will be dealt with in accordance with applicable South African law and subject to the jurisdiction of a competent South African court or other legally authorised dispute-resolution body.

36. CHANGES TO THESE TERMS

Links & Co may update these Terms from time to time to reflect:

  • changes to our business;

  • changes to our website;

  • new products or services;

  • changes in technology;

  • changes to payment arrangements;

  • changes to fulfilment or delivery arrangements; or

  • changes in applicable legislation.

The latest version will be published on the Links & Co website with the applicable effective date.

Changes will not retrospectively remove or reduce rights that a consumer has already acquired under applicable law.

37. SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be interpreted or amended to the extent legally permissible so that it complies with applicable law.

The remaining provisions will continue to apply to the extent permitted by law.

38. ENTIRE AGREEMENT

These Terms, together with the applicable:

  • Privacy Policy;

  • Shipping & Delivery Policy;

  • Refund, Returns & Cancellation Policy;

  • Cookie Policy, where applicable;

  • product-specific terms; and

  • additional terms displayed at checkout or applicable to a specific promotion,

form the terms governing your use of the Links & Co website and your purchase of products, subject to applicable law.

Where a mandatory statutory consumer right conflicts with a provision of these Terms, the statutory right will prevail.

39. CONSUMER RIGHTS PRESERVED

Nothing in these Terms is intended to:

  • waive a consumer's statutory rights;

  • exclude the operation of applicable consumer-protection legislation;

  • impose an unfair, unreasonable or unjust contractual term;

  • mislead a consumer regarding their legal rights; or

  • prevent a consumer from exercising a lawful right or remedy.

Links & Co intends these Terms to operate alongside, and not contrary to, applicable South African consumer-protection legislation.

40. CURRENT BUSINESS MODEL

Links & Co currently operates as an online retailer and e-commerce reseller.

Under the current business model:

  1. Customers browse products on the Links & Co website.

  2. Customers place orders directly with Links & Co.

  3. Customers make payment to Links & Co through the available payment method.

  4. Links & Co processes and confirms the order.

  5. Where applicable, Links & Co obtains or instructs a supplier or fulfilment partner to fulfil the order.

  6. The product is prepared and dispatched through the applicable fulfilment arrangement.

  7. Links & Co coordinates the customer's order and delivery process.

Links & Co does not currently operate a multi-vendor marketplace under these Terms, and independent third-party merchants do not independently sell products directly to customers through the Links & Co website under the current business model.

If Links & Co materially changes its business model in the future, including introducing a multi-vendor marketplace, merchant accounts, seller commissions or digital wallet functionality, the applicable legal terms and policies may be reviewed and updated before such services are introduced.
